Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of Foundry Kit, operated by Foundry ("we," "us," or "our"). By engaging our services or accessing our website at kit.withfoundry.dev, you agree to be bound by these Terms.

Foundry Kit provides MVP development services and a production-grade SaaS foundation built on Ruby on Rails. We work directly with founders to build, deploy, and scale custom software products.

2. Services

Our services include:

  • Custom MVP development built on the Foundry Kit codebase
  • AI-native feature integration (chat, automation, agent tools)
  • Deployment, hosting, and infrastructure management
  • Ongoing maintenance, monitoring, and scaling support

The specific scope, timeline, and deliverables for each engagement are defined in a separate project agreement between you and Foundry.

3. Code Ownership & Intellectual Property

Upon full payment for your engagement, you receive a perpetual, non-exclusive license to the custom code we build for your project. This includes your application code, database schema, and configurations specific to your product.

The underlying Foundry Kit framework, boilerplate code, reusable components, and tooling remain the intellectual property of Foundry. You may not redistribute, resell, or sublicense the Foundry Kit framework itself.

Any content, data, branding, or materials you provide to us remain your property. You grant us a limited license to use these materials solely for the purpose of delivering the agreed services.

4. Payment Terms

Payment terms, pricing, and schedules are outlined in your project agreement. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may result in suspension of services until the balance is settled.

Refunds are handled on a case-by-case basis and subject to the terms of your project agreement.

5. Third-Party Services

Products built with Foundry Kit may integrate third-party services including but not limited to Stripe (payments), Anthropic/Claude (AI), and cloud hosting providers. Your use of these services is subject to their respective terms. We are not responsible for the availability, performance, or policies of third-party services.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including business plans, product ideas, technical specifications, and source code. This obligation survives the termination of the engagement.

7. Warranties & Disclaimers

We provide our services with reasonable skill and care. However, software development involves inherent uncertainties. We do not guarantee that any product will achieve specific business outcomes, revenue targets, or user adoption.

Services are provided "as is" to the extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Foundry's total liability for any claims arising from these Terms or our services is limited to the fees you paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate an engagement with 14 days written notice. Upon termination, you will receive all work completed to that point. Fees for work already performed are non-refundable.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or posted on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
